JDG in Poland for Foreigners: Who Can Open a Sole Proprietorship?

JDG – Jednoosobowa Działalność Gospodarcza – is a Polish sole proprietorship and one of the most common business structures used by freelancers and professionals working under B2B contracts.
It is relatively easy to establish and operate. However, there is one important restriction:
Not every foreigner can open a JDG in Poland.
Your eligibility depends mainly on your citizenship and legal status in Poland.

Who Can Open a JDG in Poland?

Foreigners who are entitled to conduct business activity on the same basis as Polish citizens include, among others:
  • citizens of EU and EEA countries
  • citizens of Switzerland
  • citizens of the United States
  • Ukrainian citizens legally staying in Poland with PESEL UKR
  • certain spouses of Ukrainian citizens covered by the applicable rules
  • holders of permanent residence permits
  • holders of EU long-term resident permits
  • holders of qualifying EU Blue Cards
  • holders of temporary residence permits for long-term mobility of an EU Blue Card holder
  • certain holders of temporary residence permits for family reunification
  • certain holders of temporary residence permits for university studies
  • certain researchers
  • foreigners with temporary residence permits as spouses of Polish citizens residing in Poland
  • persons with refugee status or subsidiary protection
  • persons benefiting from temporary protection
  • persons with humanitarian or tolerated stay
  • holders of a valid Karta Polaka
  • qualifying family members of EU, EEA or Swiss citizens
  • certain participants of programmes supporting foreigners in conducting business activity in Poland
There are also situations where a foreigner who already had the right to conduct business may retain that right while a properly submitted residence permit application is pending.
The exact legal basis of your stay therefore matters.

Does a Karta Pobytu Allow You to Open a JDG?

Not automatically.
This is one of the most common misunderstandings among foreigners in Poland.
Having a temporary residence card does not itself mean that you are entitled to establish a sole proprietorship.
For example, a foreigner with a qualifying residence permit for studies or family reunification may have access to JDG, while another person holding a standard temporary residence and work permit may not.
Two people can therefore both have a Polish karta pobytu but have different rights to conduct business.
What matters is the legal basis on which your residence permit was granted.

Can You Switch From Employment to JDG?

This requires particular attention from non-EU foreigners.
Imagine that you currently work under:
Foreign Employee → Umowa o pracę → Polish Employer
Your employer then proposes:
Open JDG → Sign B2B Contract → Issue Monthly Invoices
Commercially, this may look like a simple change of contract.
Legally, it is not.
You should check two things before switching:
1. Can you establish a JDG?
Your current immigration status must give you the right to conduct this form of business activity.
2. What happens to your residence status?
If your residence permit or pending application is based on employment, terminating that employment and moving to B2B can affect your immigration situation.
Therefore, foreigners should verify their status before terminating an employment contract or registering a JDG.

Can You Open a JDG While Your Residence Permit Application Is Pending?

A pending residence permit application does not automatically give every foreigner the right to open a JDG.
However, in certain situations, foreigners who were already entitled to conduct business can retain that entitlement while their new residence application is being processed.
This can apply to certain holders of qualifying residence permits, including permits connected with:
  • EU Blue Card
  • university studies
  • scientific research
  • family reunification
  • marriage to a Polish citizen
  • other specific circumstances provided by Polish law
Your previous residence status and the basis of your pending application must therefore be checked individually.

How Does JDG Work?

A JDG is not a separate company from its owner.
You conduct business in your own name and can provide services to Polish or foreign clients.
Under a typical B2B arrangement:
Your JDG → provides services → Client
You then issue an invoice to the client.
As an entrepreneur, you are responsible for your own:
  • taxes
  • ZUS and health contributions
  • VAT, if applicable
  • invoices
  • accounting
  • business obligations
This is fundamentally different from an employment contract, where the employer handles most payroll obligations.

What Do You Need to Open a JDG?

A JDG is registered in CEIDG – Central Register and Information on Economic Activity.
During registration, you will need to determine, among other things:
  • business name
  • business address
  • PKD activity codes
  • commencement date
  • taxation method
  • ZUS registration
  • VAT status, if applicable
  • accounting arrangements
Taxation should ideally be analysed before registration, especially if you expect significant B2B income.

What If You Cannot Open a JDG?

If your immigration status does not allow you to establish a JDG, this does not necessarily prevent you from doing business in Poland.
A common alternative is a spółka z ograniczoną odpowiedzialnością – sp. z o.o.
Foreigners can generally establish and own a Polish sp. z o.o. even when they are not eligible to operate a JDG.
The structure then looks like:
Your sp. z o.o. → provides services → Client
The company signs the B2B agreement and issues invoices.
However, sp. z o.o. is a different legal and tax structure. It normally involves full accounting, corporate obligations and different rules concerning taxation, ZUS and withdrawal of money from the company.
Therefore, sp. z o.o. should not automatically be treated as a substitute for JDG.

Important: Opening a Business and Legal Stay Are Separate Issues

The right to establish a business does not automatically give you the right to stay in Poland.
Similarly, having legal residence in Poland does not automatically give you the right to establish a JDG.

Can I legally operate a JDG?
and
Does my immigration status allow me to stay in Poland under my planned business arrangement?
Both should be checked before making the switch.
